NZX - Sarah Miller to join NZX as Future Director

The NZX Board is pleased to announce the appointment of Sarah Miller as its next Future Director, effective 1 January 2023.

 

Ms Miller is General Counsel and Company Secretary at Serko Limited. She is also a member of the New Zealand Markets Disciplinary Tribunal, an Executive Member (and former Chair) of the Listed Companies Association, and a member of the NZX Corporate Governance Institute.

 

Ms Miller’s previous experience includes being General Counsel Corporate and Group Company Secretary at Telecom New Zealand and a Member of the Regulatory Taskforce of Capital Markets 2029. Ms Miller was also Director and Principal at Black Letter Consulting, which provided specialist governance and investor relations advisory services to NZX/ASX listed companies.

 

NZX Chair James Miller (no relation) says NZX is a strong supporter of the Institute of Directors’ Future Director Programme, ensuring the New Zealand has a greater pool of governance talent to draw from.

 

“Sarah’s legal, corporate and frontline markets experience will be of great value to the NZX Board. We look forward to her observations, insights and governance expertise around the Board table,” Mr Miller says.

 

Ms Miller says she is grateful for the personal development opportunity the Future Director role provides.

 

“This role offers a rare opportunity to contribute to the governance of a company that sits at the heart of New Zealand’s capital markets and plays an essential part in a well-functioning economy. NZX is focused on executing a sustainable growth strategy in a rapidly changing market, presenting a unique and exciting environment within which to develop my governance skills,” Ms Miller says.

 

Due to Ms Miller’s appointment as Future Director to the NZX Board, she will cease as a member of the NZ Markets Disciplinary Tribunal for the duration of her NZX Future Directorship. On the conclusion of her NZX Future Director term on 31 December 2023, Ms Miller’s appointment as a NZ Markets Disciplinary Tribunal member will be reinstated.

 

Mr Miller thanked Victoria Newman, NZX’s current Future Director, who ends her term on 31 December 2022.

 

“Victoria has made an excellent contribution to the NZX Board over the past year. Her considerable strategic consulting and project management experience, coupled with her incisive analysis of issues and clear communication style, have been very much valued by the Board. We wish her all the best for the future,” Mr Miller says.

 

Future Director Programme

 

Administered by the Institute of Directors, the Future Directors Programme is designed to help identify and grow the next generation of directors in New Zealand, including recognising talented executives who are interested in developing governance skills. Participants attend Board meetings where they contribute to discussions in an observer capacity. Future Directors do not have voting rights and are not involved in any decision making.

 

The programme operates within a well-defined set of protocols at NZX, which maximise learning opportunities for the Future Director, while not diluting the accountability of elected directors to shareholders.
