MFB - Appointment of Mark Powell to Board and interim CFO update

The Board is delighted to announce the appointment of Mark Powell as an independent non-executive director of My Food Bag Group Limited, effective 1 November 2022.

Mark has extensive and diverse experience having worked in a number of different industries in New Zealand and overseas as part of his executive and governance career, including retail, property, logistics, food services, financial services, agriculture and education. Mark moved into governance following a successful executive career, including 13 years at the Warehouse Group where he ultimately served as Group CEO for five years. Mark is currently a non-executive director of ASX listed JB Hi-Fi and Bapcor, NZX listed Kiwi Property Group and one of Australia’s largest private companies, 7-Eleven Australia. He is a member of the New Zealand Institute of Directors and a Fellow of the Chartered Institute of Transport & Logistics.

For the purposes of NZX Listing Rule 2.6.2, the Board has determined that Mark will be an Independent Director having had regard to the non-exhaustive factors set out in the NZX Corporate Governance Code. As this appointment had been made by the Board, shareholders will have the opportunity to vote on Mark's election at the next annual shareholder meeting in 2023.

Interim CFO appointment

Separately, My Food Bag announces that it has appointed Jeremy Edmonds as its interim Chief Financial Officer effective 14 October 2022. Mr Edmonds will fulfil this role on a contract basis while the current CFO, Mark Winter, acts as the interim Chief Executive Officer pending the recruitment of the new CEO. Mr Edmonds has significant experience in finance roles and with supply chain organisations, including most recently as CFO of Hall's Group.
