MFB - Issue of Ordinary Shares and Performance Rights

My Food Bag Group Limited (My Food Bag) advises that it has issued ordinary shares and performance rights to eligible employees in connection with its employee share schemes.

 

Grant of Performance Rights

 

6,321,585 Performance Rights have been issued to certain senior employees of My Food Bag under the company's Long Term Incentive Plan. In order for these Performance Rights to vest, the performance hurdle must be achieved. The performance hurdle is based on the total return to shareholders over the vesting period (an absolute TSR measure). A Capital Change Notice reflecting this grant accompanies this announcement. As set out in the notice, there are now 12,252,782 Performance Rights on issue under this LTI (after taking into account those Performance Rights that have previously lapsed or been exercised).

 

Issue of Ordinary Shares

 

My Food Bag also advises that a portion of the Share Rights (under the company's ESOS) and Performance Rights (under the company's LTI) that were granted to eligible employees in 2022 have vested. These vested rights gave the holder the option to acquire ordinary shares in My Food Bag. My Food Bag has issued ordinary shares to each holder that has exercised their vested rights. In total, 732,048 new ordinary shares were issued. A Capital Change Notice reflecting this issue of ordinary shares accompanies this announcement. Those Share Rights and Performance Rights that were issued in 2022 but did not vest or were not exercised, have lapsed.

 

The total number of Ordinary Shares on issue is now 243,169,572.

 

The total number of Performance Rights on issue is now 12,252,782.

 

There are no share rights on issue. The company-wide ESOS has been discontinued.
