ASSET: BDO: TERMS SHEET SIGNED FOR ACQUISITION OF CS COMPANY LTD

Beauty Direct announced that it has signed a terms sheet for the acquisition
of CS Company Limited, a significant cosmetics, toiletry and fragrances
business that represents many major brands, both in New Zealand and
Australia. CS Company has a proven track record and has demonstrated revenue
and profitability growth over the last 8 years. Its forecasts for the 2001
year are for revenues to exceed $19 million with an EBIT of approximately
$2.5 million. For the 2002 year both turnover and EBIT are projected to
significantly exceed these figures. The consideration for the proposed
acquisition will be approximately $8.5 million which will be paid through 
the
issue of approximately 94 million Beauty Direct shares together with a cash
adjustment. Conditions: The transaction is subject to due diligence and
formal contract, as well as the establishment of a strategic alliance with a
third party concerning the use and development of the Beauty Direct website.
Approval of the shareholders of Beauty Direct will also be required as the
transaction will constitute a major transaction for the company. The
conditions (other than shareholder approval) are scheduled to be satisfied 
by
December. A timetable for the Shareholders' Meeting will be announced once
the other conditions have been satisfied. Future intentions: The directors
of Beauty Direct intend that the new group will continue to pursue
opportunities to enhance the development of online retailing of beauty
products, together with pursuing growth opportunities for the cosmetic,
toiletry and fragrances market. Further information will be provided to the
exchange and shareholders as and when available._
